What is due diligence from an M&A perspective?

Due diligence in M&A involves disclosing crucial and confidential information by sellers to potential bidders. This procedure guarantees that all parties evaluate all pertinent information, such as the company’s existing operations, future prospects, and any risk.

What is an earn-out?

A clause in the sale contract that stipulates that the seller will earn additional payments based on the future performance of the business.

What is a spinoff?

When a company turns one of its parts, divisions, or subsidiaries into a separate, independent company, issuing shares to its current shareholders.

What’s the difference between a merger and an acquisition?

A merger is where two companies agree to become one. They could retain one of the company names or change to something new. An acquisition is a transaction where Company A purchases Company B
